Terms of service
The framework under which we provide the Materia application and custom development services.

01Provider
The provider is Unbiqai s.r.o., company ID 29790719, Vlkýšská náves 51/14, Dolní Vlkýš, 318 00 Plzeň (File C 48772, Regional Court in Plzeň).
As of the last update of these terms the provider is not registered for VAT, so the prices shown on this site are final.
02Scope
The provider grants the customer access to the Materia web application within the scope of the selected plan, or carries out custom software development under a separate agreement.
The specific scope, limits and price follow from the price list valid on the day of the order and from the confirmed order.
03Prices and payment
Plan prices are stated per month. On annual billing the provider grants a discount equal to two months.
The one-off implementation fee is payable before the production instance is made available, unless agreed otherwise. Invoices are due within 14 days of delivery.
04Rights to the software and data
Copyright in the application, its source code and documentation remains with the provider. The customer receives a non-exclusive, non-transferable licence to use the application for internal purposes for the duration of the subscription.
Data entered into the application by the customer remains the customer’s property. The provider handles it only as needed to run, maintain and support the service, and will export it on request.
05Availability and support
The provider aims for continuous availability but does not guarantee it beyond any separately agreed SLA. Planned maintenance is announced in advance.
The scope and response time of support correspond to the selected plan.
06Liability
The application is a decision-support tool. It never sends orders on its own; final commercial and ordering decisions are always made by an authorised person on the customer’s side.
The provider’s total liability for damages is limited to the amount paid by the customer over the preceding twelve months, save for intent and gross negligence.
07Term and termination
The subscription runs for the selected period and renews automatically unless either party terminates it at least 30 days before the end of the period.
After termination the provider will, on request, hand over a data export and then delete the data.
08Governing law
These terms are governed by the law of the Czech Republic. Any disputes fall under the jurisdiction of the competent Czech courts.
